Terms of Use and
End-User License Agreement

Effective date: August 30, 2026

Welcome to Scout Solutions. These general terms cover the use of our
public website and the applications, integrations, and software we make
available (together, the “Services”). Scout Solutions LLC is referred to
here as “Scout,” “we,” “us,” or “our.”

If Scout is delivering consulting or software work for you, that
relationship is governed by a separate signed agreement (such as a
statement of work or master services agreement) tailored to the
engagement, and that agreement takes precedence over these general Terms
wherever they differ. If anything here is unclear, please reach out
using the contact details below.

By accessing or using the Services, you agree to these Terms. If you
do not agree, please do not use the Services.

License

Subject to these Terms, Scout grants you a limited, non-exclusive,
non-transferable, revocable license to access and use the Services for
their intended business purpose. Scout retains all rights not expressly
granted.

Acceptable use

You agree not to: use the Services unlawfully or in violation of
these Terms; attempt to gain unauthorized access to the Services or
related systems; interfere with or disrupt the Services; reverse
engineer, copy, or create derivative works except as permitted by law;
or use the Services to infringe the rights of others.

Intellectual property

The Services, including all software, content, and trademarks, are
owned by Scout or its licensors and are protected by law. These Terms do
not transfer any ownership to you.

Third-party services

The Services may connect to, integrate with, or resell third-party
platforms, software, and services (for example, QuickBooks Online,
Microsoft 365, and vendor software Scout resells). Your use of any
third-party product is governed by that vendor’s own agreement, license,
or end-user terms, and by its privacy practices, not by these Terms.
Scout is not responsible or liable for third-party products or services
it does not control, and makes no warranties about them beyond those, if
any, the vendor provides. Where Scout resells or provisions a vendor’s
product to you, you agree to comply with that vendor’s applicable
terms.

Disclaimers

We work hard to provide reliable, high-quality Services, and for our
engagements the specifics of what we commit to are set out in our signed
agreement with you. For legal purposes, and for the public website and
tools, the following applies: the Services are provided “as is” and “as
available,” without warranties of any kind, whether express, implied, or
statutory, including any implied warranties of merchantability, fitness
for a particular purpose, and non-infringement, to the fullest extent
permitted by law. We do not warrant that the Services will be
uninterrupted, timely, secure, or error-free, and we are not responsible
for delays or failures inherent in the transmission of data over the
internet and other communications facilities we do not control.

Limitation of liability

To the fullest extent permitted by law, Scout will not be liable for
any indirect, incidental, special, consequential, or punitive damages,
or for any loss of profits, revenue, or data, arising out of or relating
to your use of the Services. Scout’s total liability arising out of or
relating to the Services will not exceed the greater of (a) the amounts
you paid to Scout for the Services giving rise to the claim in the
twelve months preceding the event that caused the liability, or (b) [USD
100]. Some jurisdictions do not allow certain limitations, so some of
the above may not apply to you.

These limits do not apply to: amounts you owe Scout; your breach of
the Acceptable use or Intellectual property sections; your
indemnification obligations; or any liability that cannot be limited or
excluded under applicable law.

Indemnification

You agree to indemnify and hold harmless Scout and its owners,
officers, and employees from third-party claims, damages, and expenses
arising out of your misuse of the Services or your violation of these
Terms.

For Services delivered under a signed agreement with Scout, Scout
will indemnify and defend you against any third-party claim alleging
that those Services, used as permitted, infringe that third party’s
intellectual property rights. This obligation does not apply to claims
arising from your modification or misuse of the Services, your use of
anything other than the current version we provide, or their combination
with products, services, or data Scout did not provide. This does not
extend to third-party products (see Third-party services), which are
covered by their own vendors’ terms.

Term and termination

These Terms remain in effect while you use the Services. Scout may
suspend or terminate your access, with or without notice, for a material
breach of these Terms. For services provided under a separate agreement,
termination rights are governed by that agreement. Provisions that by
their nature should survive termination will survive.

Governing law

These Terms are governed by the laws of the State of Minnesota,
without regard to its conflict-of-laws rules. The state and federal
courts located in Minnesota will have exclusive jurisdiction over any
dispute arising out of or relating to these Terms, and you consent to
that jurisdiction and venue. [Counsel to decide whether to replace this
with binding arbitration plus a class-action waiver.]

Changes to these Terms

Scout may update these Terms from time to time. When we do, we will
revise the effective date above and post the updated version on this
page. Your continued use of the Services after a change means you accept
the updated Terms.
